Terms of Service

These terms govern your use of the Korvo desktop application ("App"), the korvo.xyz website ("Website"), and related services (collectively, "Korvo" or the "Service"), operated by Snab Limited, a company registered in England and Wales (Company No. 16006744), with its registered office at 27 Old Gloucester Street, London WC1N 3AX ("we", "us", "our"). By creating an account or using Korvo, you agree to these terms.

1. The Service

Korvo is a local-first planning and decision workspace. The App runs on your device. Your workspace data (projects, notes, files, chat history, decision trails, AI conversations) is stored locally and is never uploaded to Korvo servers.

Korvo provides a structured workflow for ingesting context, reasoning about complex problems, generating outputs with AI assistance, and preserving decisions with full provenance.

2. Accounts & Authentication

You must sign in with a Google account to use Korvo. You are responsible for maintaining the security of your Google account. One account corresponds to one subscription - entitlement is tied to your Google identity across the website and app.

3. Subscriptions & Pricing

• Early Access: $149/year. Full Korvo Pro access for the first year. Renews at $299/year.
• Pro: $299/year (or $29/month after public launch).
• Free tier: Limited access (1 project, 1 AI provider, limited files and notes). No payment required.

Prices are in USD. All subscriptions are billed through Stripe. You may cancel at any time - access continues until the end of your paid period.

4. Refund Policy

Because Korvo is a digital product with immediate access, all purchases are final. However:

• If you experience a technical issue that prevents you from using the App, contact us within 14 days for a refund or credit at our discretion.
• If you cancel your subscription, you retain access for the remainder of your paid period. No partial refunds are issued.

5. Your Data & Privacy

Korvo is local-first. Your workspace data stays on your device. Our servers store only your account identity (email, name) and subscription status. See our Privacy Policy for full details.

You own your data. Korvo does not claim any rights over the content you create, the files you upload, the notes you write, or the outputs generated through your use of the App. Your workspace is yours.

6. AI Features & BYOK

Korvo uses a Bring Your Own Key (BYOK) model. You provide API keys for third-party AI providers (Anthropic, OpenAI, Google, Ollama, etc.). When you use AI features:

• Your prompts and context are sent directly from your device to the AI provider. Korvo does not proxy, intercept, log, or store these requests.
• You are responsible for your use of third-party AI services, including compliance with their terms of service.
• AI-generated outputs may contain errors, inaccuracies, or hallucinations. You must independently verify any AI output before relying on it for decisions.
• Korvo does not guarantee the accuracy, completeness, or fitness of any AI-generated content.

7. Acceptable Use

You agree not to:

• Reverse-engineer, decompile, or disassemble the App (beyond what applicable law permits).
• Share, transfer, or resell your subscription or account credentials.
• Use the Service to build a competing product.
• Attempt to circumvent entitlement checks, feature gating, or licensing mechanisms.
• Use the Service for any illegal purpose.

8. Intellectual Property

The Korvo name, logo, website design, and application code are the intellectual property of Snab Limited. You may not use our trademarks without prior written consent.

Content you create within Korvo (notes, plans, outputs, decision trails) belongs entirely to you. We claim no ownership or license over your content.

9. Availability & Updates

• Korvo is currently available on macOS. Additional platforms may be added during your subscription - they are included at no extra cost.
• We may release updates to the App that include new features, bug fixes, or changes. We will strive to maintain backward compatibility with your existing data.
• The Website and authentication services may experience occasional downtime. We aim for high availability but do not guarantee uninterrupted access. The App itself works offline (with cached entitlement for up to 7 days).

10. Limitation of Liability

To the fullest extent permitted by applicable law, Korvo and its creator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill, arising out of:

• Your use of or inability to use the Service.
• Any AI-generated content or decision made based on outputs from the Service.
• Loss of locally stored data (which is your responsibility to back up).
• Unauthorized access to your account due to compromised credentials.

In no event shall aggregate liability exceed the amount you paid for the Service in the 12 months preceding the claim, or $100, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless Korvo and its creator from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your use of the Service, violation of these terms, or violation of any third-party rights.

12. Cancellation & Termination

• You cancel: You may cancel your subscription at any time. Access continues until the end of your paid period. After that, you revert to the free tier.
• We terminate: We may terminate or suspend your account for material breach of these terms. We will provide notice where possible.
• Your data after termination: All your workspace data remains on your device - we never had it. Server-side account data is deleted within 90 days of termination.

13. Third-Party Services

Korvo integrates with or relies on:

• Stripe - payment processing
• Supabase - authentication and account management
• Google - OAuth sign-in
• AI providers (your choice) - Anthropic, OpenAI, Google, Ollama, etc.

Your use of these services is governed by their respective terms and privacy policies. Korvo is not responsible for third-party service availability, policies, or practices.

14. No Professional Advice

Korvo is a productivity and decision-support tool. Nothing in the Service constitutes legal, financial, investment, or professional advice. Outputs generated by the Service (including AI-assisted outputs) should not be relied upon as a substitute for professional judgment.

15. Governing Law

These terms are governed by the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

17. Changes to These Terms

We may update these terms from time to time. Changes are effective immediately upon posting. Continued use of the Service constitutes acceptance. We recommend reviewing this page periodically.
